TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern the relationship between STITCH N INK CORP (“Stitch N Ink,” “we,” “us”) and any customer, brand, business, or reseller (“you,” “Customer”) requesting a quote, placing an order, or otherwise using our services. By submitting a quote request, approving a proof, or paying a deposit, you accept these Terms.
1) Services Scope
Stitch N Ink provides contract screen printing, embroidery, DTF printing, and wide-format printing (banners, vehicle wraps, vinyl signs, event tents, table throws, flags, and related signage). The specific deliverables, quantities, materials, and turnaround for your project are defined in your written quote and order confirmation.

2) Quotes & Pricing
Quotes are valid for 30 days unless otherwise stated and are based on the artwork, garment, quantity, and turnaround supplied at the time of request. Pricing may change if the project scope, garment brand, color count, or quantity changes after quoting. Reseller (wholesale) pricing requires a valid California Seller's Permit / Resell number and may require additional verification.
3) Artwork, Proofs & Intellectual Property
You represent and warrant that you have the rights, licenses, or authorizations needed to print or embroider the artwork you submit. You agree to indemnify Stitch N Ink against any third-party claim arising from your artwork. Vector files (AI, EPS, PDF) are preferred; raster files may require additional prep that is billed separately.
We provide a digital proof for your approval before production begins. Once you approve a proof, production runs to that proof — Stitch N Ink is not responsible for typos, layout, or color issues that were present on an approved proof.
4) Production & Turnaround
Standard turnaround is calculated from the later of (a) approved proof and (b) cleared deposit, and depends on order size, complexity, and current capacity. Rush turnaround may be available for an additional fee. We will confirm your in-hand date in writing on order confirmation.
Industry-standard underage / overage of up to 3% may apply to large orders. We will not bill for shortage but will not reprint single-piece shortages on bulk runs.
5) Customer-Supplied Goods
If you supply garments or substrates for decoration, Stitch N Ink is not responsible for replacement cost in the event of unavoidable production loss. We recommend supplying 3% over your decorated quantity for spoilage. Customer-supplied items must be commercially decoratable; we reserve the right to refuse goods that are not.
6) Payment Terms
New customers: 50% deposit on order confirmation, balance due before pickup or shipment. Established accounts may qualify for net terms after credit review. Past-due balances accrue 1.5% per month (18% per year) or the maximum rate allowed by law, whichever is lower.
7) Cancellations & Changes
Orders may be cancelled before screens are burned, files are imaged, or substrate is cut. After that point, deposits are non-refundable to cover labor and materials already invested. Changes after proof approval may require requoting and may extend the in-hand date.
8) Quality, Reprints & Returns
Claims must be reported within 5 business days of receipt. We will reprint or credit any pieces that fall outside industry-standard print quality. Custom-decorated goods are not returnable.
9) Limitation of Liability
Stitch N Ink's liability for any claim is limited to the cost of the affected goods. We are not liable for incidental, consequential, lost-profit, or third-party damages arising from delivery delays, equipment failure, or supply-chain interruptions outside our control.
10) Force Majeure
Stitch N Ink is not liable for delays caused by events beyond our reasonable control, including natural disasters, utility outages, supplier failures, labor disputes, or government actions.
11) Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue for any dispute lies in the state or federal courts located in Santa Clara County, California.
12) Updates to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last Updated” date. Continued use of our services after an update constitutes acceptance of the revised Terms.
